Competition Bureau will not challenge Sony-BMG Joint Venture

OTTAWA, July 29, 2004 - Following a careful review of the proposed joint venture between the music recording businesses of Bertelsmann AG and Sony Corporation, the Competition Bureau has concluded that there was no basis for challenging the transaction.

Over the course of the examination, the Bureau consulted with customers, associations and industry participants and cooperated with The Competition Directorate of the European Commission and the United States Federal Trade Commission.

Despite the increasing degree of concentration in the industry, the examination did not reveal evidence of past coordinated behaviour among the major record companies in Canada, nor did it suggest that the transaction would likely create potential for such behaviour. However, the Bureau will continue to thoroughly analyse the competitive effects of any further consolidation to ensure healthy competition is maintained in Canada.

The Competition Bureau is an independent law enforcement agency that promotes and maintains fair competition so that all Canadians can benefit from competitive prices, product choice and quality service. It oversees the application of the Competition Act, the Consumer Packaging and Labelling Act, the Textile Labelling Act and the Precious Metals Marking Act.
