Hold Separate Agreement filed in Riverside-Tolko Merger

OTTAWA, November 18, 2004 - The Competition Bureau has filed a consent interim agreement with the Competition Tribunal holding separate certain assets where competition concerns may exist in the acquisition of Riverside Forest Products Ltd. ("Riverside") by Tolko Industries Ltd. ("Tolko").

The agreement, filed yesterday pursuant to section 100 of the Competition Act, will preserve the Tribunal's ability to order appropriate relief pending completion of the Bureau's review of the transaction. The hold separate agreement will be in place for a maximum period of forty-five days.

On October 26, 2004, Tolko took up 5,833,473 shares or approximately 80% of Riverside shares. The hold separate agreement will maintain Riverside's operations in the Okanagan Valley as an independent, viable and competitive business.

The Competition Bureau is an independent law enforcement agency that promotes and maintains fair competition so that all Canadians can benefit from competitive prices, product choice and quality service. It oversees the application of the Competition Act, the Consumer Packaging and Labelling Act, the Textile Labelling Act and the Precious Metals Marking Act.
