What Documents Must I Submit?

This kit contains the forms you need to incorporate. You do not have to use these printed forms but you must submit documents that are legible and conform closely to the format of these forms.

You submit your application to Corporations Canada for approval. Submit the following forms:

Canada-biased NUANS® Report

The name of your proposed cooperative must be distinctive and must not cause confusion with any existing name or trade-mark. As proof of its originality, your application must include a Canada-biased NUANS® (Newly Upgraded Automated Name Search) report. A NUANS® report is a five-page computer printout of business names and trade-marks registered in Canada that sound or look similar to the name you are proposing. The list is drawn from a national data bank of existing and reserved business names, as well as registered and proposed trade-marks in Canada.

Your NUANS® report must be dated no more than 90 days before receipt in Corporations Canada.

You can order a NUANS® report, for a fee, from a private firm known as a search house. These firms are listed in the Yellow Pages of your telephone directory under "Incorporating Companies," "Incorporation - Name Search," "Searchers of Records" or "Trade-Mark Agents."

A NUANS® report may also be ordered on-line at the On-line Filing Centre from the NUANS® Real-Time System. The fee is $20 payable by credit card (American Express®, MasterCard® or Visa®).

Declaration

Your application must include a declaration signed by the incorporators stating that, after incorporation, the cooperative will be organized and operated and will carry on business as a cooperative. The declaration must also state that the information contained in forms 3003 and 3006 filed with the articles of incorporation must meet the requirements of the Act (see Annex A).

Non-profit housing cooperatives must also submit a declaration signed by the incorporators stating that, after incorporation, the cooperative will comply with Part 20 of the Act (see Annex A).

Worker cooperatives must also submit a declaration signed by the incorporators stating that, after incorporation, the cooperative will comply with Part 21 of the Act (see Annex A).

Fee of $250

The fee is payable by cheque or money order made out to the Receiver General for Canada. We also accept Visa® and MasterCard®, or you may pay from a Corporations Canada deposit account if you have set one up with us.

Form 3003: Notice of Registered Office or Notice of Change of Address of Registered Office

Form 3006: Notice of Directors or Notice of Change of Directors
