Definition of “management of a
corporation”
|
467.3
(1) In this section, “management of a corporation” in respect of an act or
omission means all or any of
(a)
the one or more persons who, being directors or officers of the corporation
are responsible for the direction and control of the part of the activity of
the corporation in respect of which the act or omission occurs; and
(b)
the one or more persons to whom the corporation has delegated the day-to-day
management of that part of the activity of the corporation.

467.3 (1) Dans le présent article,
« direction d’une société » s’entend, dans le cas d’un acte ou
d’une omission :
a) des personnes qui, à titre
d’administrateurs ou de dirigeants, sont responsables de la direction et du
contrôle du secteur d’activité de la société concerné par l’acte ou
l’omission;
b) des personnes auxquelles la
société a délégué la gestion quotidienne du secteur d’activité en question.

(2) Where it is shown that an act
or omission has been committed on behalf of a corporation, directly or
indirectly by the act or omission pursuant to the order of one or more of its
officers, employees or independent contractors, and
(a) the act or omission was authorized by the management of
the corporation either as a specific authorization of the act or omission or
by following a policy established by or a practice authorized or allowed by
the management of the corporation,
(b) the act or omission was tolerated, condoned or
encouraged by the policies or practices established by or permitted to
subsist by the management of the corporation, or the management of the
corporation could and should have been aware of but was wilfully blind to the
act or omission,
(c) the management of the corporation had allowed the
development of a culture or common attitude among its officers and employees
that encouraged them to believe that the act or omission would be tolerated,
condoned or ignored by the corporation, or
(d) the management of the corporation, whether or not it
knew of the act or omission,
(i) failed to take steps that a reasonable, prudent and responsible
corporation should take so that its officers and employees would know that
such acts or omissions, or acts or omissions of the same or a similar nature,
were unlawful or forbidden by the corporation, or
(ii) failed to provide procedures and practices whereby such acts
or omissions would come to its notice,
the corporation
is guilty of every offence of which an individual could be found guilty for
committing that act or omission.

(2) Est coupable de toute infraction dont
pourra être reconnu coupable l’auteur de l’acte ou omission, la société dont
il est prouvé que l’acte ou omission a été perpétré en son nom, directement
ou indirectement par l’acte posé ou en application d’un ordre d’un ou plusieurs
de ses dirigeants, employés ou entrepreneurs indépendants dans les cas
suivants :
a) l’acte ou omission était autorisé par la
direction de la société, soit de façon expresse soit en vertu d’une politique
établie par la direction ou d’une pratique autorisée ou permise par celle-ci;
b) l’acte ou omission était toléré, approuvé
ou encouragé par les politiques ou pratiques établies ou permises par la
direction de la société, ou la direction aurait pu et dû être au courant de
l’acte ou omission mais elle a choisi de l’ignorer;
c) la direction de la société a permis que se
développe une culture ou une mentalité commune parmi ses dirigeants et ses
employés, les encourageant à croire que la société tolérerait un tel acte ou
omission ou qu’elle fermerait les yeux sur cette pratique;
d) la direction de la société, qu’elle ait été
au courant ou non de l’acte ou omission a négligé :
(i) soit de prendre les mesures
que toute société raisonnable, prudente et responsable devrait prendre pour
que ses dirigeants et employés sachent que de tels actes ou omissions, ou des
actes ou omissions de nature semblable, sont illicites ou interdits par la
société,
(ii) soit d’établir des procédures et
pratiques qui lui auraient permis d’être au courant de tels actes ou
omissions.
