Notice is hereby given in connection with the proposed voluntary liquidation and dissolution of Services Hypothécaires CIBC Inc. ("SHCI") that: (1) on September 1, 2003, the Minister of Finance approved the application of SHCI pursuant to section 349 of the Trust and Loan Companies Act, S.C. 1991, c. 45, as amended, (the "Act") for letters patent dissolving SHCI and (2) SHCI intends to make an application to the Minister of Finance under subsection 241(1) of the Act for the approval of an agreement between SHCI and its sole shareholder, Canadian Imperial Bank of Commerce ("CIBC"), under which SHCI will transfer to CIBC all of SHCI's assets, and CIBC will agree to pay and discharge all obligations of SHCI to the extent of the amount received by CIBC on the transfer, on or about September 30, 2003.
