Summary
Guidelines to Incorporating a New Company
The following are some guidelines in regard to the incorporation of companies pursuant to the Business Corporations Act. These guidelines deal only with the minimum registration requirement to be met to incorporate a company. It is strongly recommend that you consult a lawyer. It is NOT a function of the Companies Registry to provide legal or business advice.
1. A corporation is formed by filing the following properly completed and executed documents:
i. Articles of Incorporation (Form 1) - 1 copy
ii. Notice of Registered Office (Form 2) - 2 copies
iii. Notice of Directors (Form 4) - 2 copies
2. If any item of information required to be disclosed in a form does not apply, this must be indicated by the phrase "not applicable", by the abbreviations "N/A" or by a brief explanatory statement.
3. (a) If you wish to incorporate a numbered company, then the number will be assigned by the Corporate Registries (e.g. "881234 N.W.T. LTD."). If the corporation wishes to have some other name, then it will be necessary to submit a name search and reservation request together with the $25 fee to Corporate Registries. Please note that if you wish to reserve a name in advance of the actual incorporation of the corporation, then the request for the name search and reservation and the fee of $25 should be submitted in advance.
3. (b) The last word of the name of the corporation must be "Limited", "Limitee", "Incorporated", "Incoporee", "Corporation", "Societe", or the abbreviation "Ltd.", "Ltee", "Inc.", or "Corp.".
4. If there is insufficient room for the information required in any of the items on the form, the information must be provided in an annexed schedule and the schedule must be referred to in the item by using the following sentence: "The annexed Schedule "A" is incorporated in this form." A separate schedule must be used for each item.
5. One or more persons may incorporate a corporation. The incorporator(s) must sign the Articles of Incorporation.
6. The incorporation fee is $300 and the name search and reservation fee is $25.
