To Whom Does This Apply?

All organizations incorporated under the CBCA or CCA-II must comply with the terms of these acts.

Summary

Corporations Canada is responsible for enforcing and monitoring compliance with the Canada Business Corporations Act and its regulations, as well as with the Canada Corporations Act, Part II. It reviews complaints relating to corporations or their management, and initiates proceedings when possible.

The CBCA is intended to be primarily self-enforcing, meaning that it provides parties with complaints direct access to remedies to address their complaints. Only in extraordinary circumstances will the Director, Corporations Canada use his public resources towards what are essentially private disputes between a complainant and a corporation.

Failure by a corporation or a director or officer of a corporation to comply with statutory requirements can result in them receiving a summary conviction to a fine not exceeding $5 000 or to imprisonment for a term not exceeding six months or both.
