under The Business Names Registration Act


Registration Process

Who has to register?

Any person (natural person or corporation) who carries on business under a business name must register.

How do I register my business in Saskatchewan?

Sole Proprietorship (Form A) or Partnership (FormA.1) and Request for Name Search and Reservation (Form G) must be typed or completed in ink and forwarded to the Corporations Branch with the appropriate fees. Forms may be faxed or mailed.

Do I have to hire an accountant or lawyer to register?

No. However, the Corporations Branch does not give advice on what type of structure may be appropriate for your business, for example, whether to set up a business as a sole proprietorship, partnership or to incorporate. You should contact an attorney for your legal concerns or an accountant for your financial concerns.

Once I file the forms and the fees what happens?

All documents are placed in the order they were received and checked to see if they have been completed properly and that they do not violate any provision of The Business Names Registration Act. A Certificate of Registration containing a registration number is issued. The duplicate form will be returned to you for your records.

Your business name will be registered as of the date all correctly completed forms and fees are received. You may request a later registration date, if desired.

Fees

The fee to register a business name is $65. The name search fee ($50 or $60 depending on the type of search requested) will also be due if the name has not been searched and reserved in advance.

All fees are payable to the Minister of Finance and may be made in cash or by Visa, MasterCard, cheque or money order.

Turn-around time

The usual turn-around time for processing registration documents is two weeks. If you need your documents processed in less than the usual turn-around, there will be an additional $100 Emergency Processing Fee. If the name has been searched and reserved with Corporations Branch in the previous 90 days, the Emergency Processing Fee will be only $25.

After registration: filing renewals

I have submitted all the forms and fees and they have been approved. Do I have any other responsibilities?

Yes. You must file a renewal with the Corporations Branch every three years.

You must also notify the Corporations Branch within 15 days of any change to the business address, mailing address or the address of the proprietor or partners.

What is a renewal?

A renewal maintains your business’s registration and verifies that the information in the Corporations Branch records is correct. The renewal is generated by the Corporations Branch and sent to the business. You must verify the information on the notice and return it.

When are renewals due?

Renewals are due 3 years after the original registration date. They may be filed up to 3 months before the expiry date. The filing fee for the renewal is $50.

What happens if I do not file a renewal?

If a renewal is not received by the due date, the registration of the business name will expire as of that date and will be shown as ‘expired’ on the Register of Corporations.

Once expired, that business name becomes available to anyone else requesting a similar name after 90 days.

How do I search the name I want to use for my business?

You can request a search of your proposed name by phone, mail, or fax.

  • Phone the Corporations Branch at (306) 787-2962 and provide the information outlined in the Name Search and Reservation form, along with a Visa or MasterCard number and expiry date.
  • Mail the Name Search and Reservation form to the Corporations Branch with the required fee. You may pay by Visa, MasterCard, cheque or money order in Canadian funds.
  • Fax the Request for Name Search and Reservation with the Client Authorization form, including a Visa or MasterCard number and expiry date, to the Corporations Branch at (306) 787-8999. Be sure that a name and return address are at the top of the name search request so the results can be mailed to you.

All available names are reserved for a ninety day period to allow you time to prepare and submit the registration documents, if they do not accompany the name search request.

How much does it cost to do a name search?

There are two types of name searches. A Saskatchewan Plus search is $50 and a Canada-wide search is $60.

How do I change the address or the type of business?

To change the address or the type of business listed on the Application, mail or fax a letter to Corporations Branch outlining the change and the current name of your business. There is no fee to file this change.

If you decide to change the name of your business after it is registered, you must cancel the current registration, file a new application and pay the $60 registration fee (a new name search and fee may be required if there is a substantial change to the name). The new name will be treated as a new business and a new registration number will be issued.

How do I change the owner of the business?

If the business name was originally registered as a sole proprietorship, the current registration must be cancelled and a new application and $65 registration fee is required.

If the name was originally registered as a partnership and you are adding or deleting a partner -- but it is still remaining as a partnership -- you must file an Alteration in Membership form and pay a $20 fee.

If the name was originally registered as a partnership and the deletion of a partner changes the registration to a sole proprietorship, the current registration must be cancelled and a new application and $65 registration fee is required.

What is a place of business?

The place of business is the address (presumably within Saskatchewan) where the records of the business are maintained and where the business is to be carried on.

Are there any penalties for doing business without being registered?

Yes. Section 23 of The Business Names Registration Act states that any person who carries on business without being registered is subject to prosecution and may be fined up to $1000.

What if I want to do business under more than one name?

If you want to do business under more than one name you must register each business name separately under The Business Names Registration Act.
