Corporate Filing Services

Business Corporations Act (for profit)

Please allow 2-4 weeks for processing by mail for the following services:

Incorporation
$360 for immediate over-the-counter service
$360 for mailed-in service
$300 for immediate service through the Service Providers

Amendment
$150 for immediate over-the-counter service or mailed-in service

Dissolution
$25 for immediate over-the-counter service or mailed-in service

Revival
$330 for immediate over-the-counter service or mailed-in service

Amalgamation (10 or fewer amalgamating corporations)
$330 for immediate over-the-counter service or mailed-in service

Amalgamation (more than 10 amalgamating corporations)
$500 for immediate over-the-counter service or mailed-in service

Authorization to Continue in Another Jurisdiction
$330 for immediate over-the-counter service or mailed-in service

Continuation in Ontario
$330 for 48-hour over-the-counter service or mailed-in service
$500 for expedited 24-hour over-the-counter service

Arrangement
$330 for 48-hour (minimum) over-the-counter service or mailed-in service

Reorganization

Restated Articles
$150 for immediate over-the-counter service or mailed-in service

Winding-up (first filing)

Corrected Certificate
$500 for mailed-in service

There is a multiple transactions special service fee of $25 in addition to the filing fee for each transaction over three, when filing more than three over-the-counter Business Corporation Act documents. This service is by appointment only.

PLEASE NOTE:

Payment Information

Payments to the Branch may be made by cash, Visa, MasterCard, AMEX, Interac, certified cheque, money order or personal cheque payable to the Minister of Finance. Personal cheques must include pre-printed name, address, bank transit number and account number on the front of the cheque. Please do not send cash in the mail. You cannot pay by Visa, MasterCard or AMEX when using the mailed-in service.

The Federal Goods and Services Tax (GST) does not apply to statutory fees.

N.B. A $35.00 fee will be charged for any cheque returned as non-negotiable.

Fees for immediate service through the Service Providers reflected in this fee schedule are the statutory fees and do not include the Service Providers´ service fee.
