The Commission will hold a public hearing
commencing on 1 March 2004 at 9:30 a.m., at the World Trade and
Convention Centre, 1800 Argyle Street, Halifax, Nova Scotia, to
consider the following applications. The intervention deadline is 5
February 2004. |

PREAMBLE (for items 1 to 25) |
|
On June 12, 2003, the Commission issued
Broadcasting Public Notice CRTC
2003-30, calling for low
power applications for broadcasting licences to carry on a radio programming
undertaking to serve Fredericton, New Brunswick. On the same date, the
Commission issued Broadcasting Public Notice CRTC
2003-31 calling for
applications for broadcasting licences to carry on radio programming
undertakings to serve Halifax, Nova Scotia, Moncton and Saint John, New
Brunswick. Interested parties had until August 27 to submit applications to
the Commission. |

On September 22, 2003, the Commission issued
Broadcasting Public Notice CRTC
2003-51, calling for
applications for broadcasting licences to carry on a radio programming
undertaking to serve Fredericton, New Brunswick. Interested parties had until
November 21 to submit applications to the Commission. |
|
Further to these calls, the Commission received
a significant number of applications for licences to serve the aforementioned
markets. Included in these proposals, are six by Rogers Broadcasting Limited
(RBL) to serve several of the markets. RBL has indicated that its proposed
business plan is predicated on the licensing of all of its 6 applications. In
this case and in order to use its time more efficiently at the hearing, the
Commission may decide to question RBL at its first appearance on any matters
related to issues common to all six of its proposals. RBL would still be
required to present itself at the Public Hearing as part of the standard
four-phase competitive process for each market for which it has submitted an
application. Under this scenario, interested parties are asked to be present
for RBL’s first presentation and to consult future Commission notifications
for confirmation of this scheduling approach. |

reorganisation with respect to its specialty television programming

Vision TV is the licensee of the analog national
specialty television programming service known as Vision TV (the Vision TV
undertaking), providing interfaith religious programming. |
|
It has also been authorized to operate a digital
category 2 national specialty television service to be known as The Christian
Channel, which is not yet operational. |
|
Vision TV holds 100% of the voting interest of
Vision TV Digital Inc. (VDI), which in turn controls, through a voting trust
arrangement between itself, Radio Nord Communications Inc. and Renewal
Partners Company, ONE: The Body, Mind and Spirit Channel Inc. (ONE). ONE is
the licensee of a digital category 1 national specialty television service
known as ONE: The Body, Mind and Spirit Channel (the ONE undertaking). |
|
VDI also holds a 30.1% voting interest in the
category 2 national specialty television service to be known as Celebration,
which is not yet in operation. |
|
The reorganization will consist of the following
transactions: |
|
a) Transfer of assets of the undertaking operated by Vision TV
|
|
The applicant proposes to transfer the assets of the Vision TV
undertaking to a new corporation to be incorporated (NewCo). The new
licensee will also act as trustee of Vision TV Trust, of which Vision TV
will be the beneficiary.
|
|
The applicant is further requesting a licence to continue the operation
of the Vision TV undertaking, under the same terms and conditions, upon
surrender of the current licence issued to Vision TV.
|
|
The applicant is also seeking authority to transfer the licensing
authority with regards to The Christian Channel to NewCo, so as to become
the new licensee of this service under the same terms and conditions.
Considering that this service is not yet operational, the applicant still
needs to comply with the requirements stipulated in Public Notices CRTC
2000-171 and
2001-98 before a licence can
be issued for this service.

b) Change the indirect control of ONE |
|
Vision TV proposes to transfer the indirect control of ONE to Newco,
through the transfer of the 100% voting interest held by VDI, the parent
corporation of ONE, from Vision TV to NewCo.
|
|
Rationale:
According to the applicant, the corporate reorganization is to ensure that
Vision TV operates in a manner that is most efficient for tax and financial
planning purposes and from a charities regulation perspective. |
