The Commission will hold a public
hearing commencing on 1 November 2004 at 9:30 a.m., at the
Conference Centre, Portage IV, 140 Promenade du Portage, Gatineau,
Quebec, to consider the following applications. The
interventions/comments deadline is 14 October 2004. |

Applications by TVA Group Inc. (TVA) and
Sun Media Corporation (Sun Media), on behalf of a corporation to be
incorporated (Newco), seeking authority to transfer the effective
control of Newco. Newco is the proposed licensee of the television
programming undertaking CKXT-TV Toronto, its transmitter CKXT-TV-1
Hamilton and its associated transitional digital television service at
Toronto, CKXT-DT (collectively, Toronto 1). |

The transaction would be effected through
the transfer of all of the shares to be issued of Newco to TVA (75%) and
Sun Media (25%). |
|
TVA and Sun Media also request authority
to amend the licence of Toronto 1 to add a condition of licence relating
to editorial independence. The proposed condition would follow a similar
model as the one imposed on the conventional television stations of
CTV Television Inc. and Global Communications Limited (Decisions CRTC
2001-457 and 2001-458
respectively). |

The Commission notes that the proposed transaction
follows two pending applications that have been considered at the
7 September 2004 public hearing (Broadcasting Notice of Public Hearing
CRTC 2004-5): |

Application 2004-0546-6, filed by Craig
Media Inc. (Craig) for authority to transfer the assets of Toronto 1 to
Newco; and, |
|
Application 2004-0514-3, filed by CHUM
Limited (CHUM), on behalf of Craig for authority to transfer the
effective control of Craig to CHUM. |
|
Both TVA and Sun Media are controlled by
Quebecor Media Inc. (QMI), a corporation ultimately controlled by Les
Placements Péladeau inc. |
|
TVA is the largest private broadcaster in
the French-language conventional television market in Canada. In
addition to its conventional television stations, TVA owns a certain
number of specialty services. Furthermore, TVA is involved in production
and distribution of audiovisual products, and in magazine publishing. |
|
Sun Media is the second largest newspaper
publishing company in Canada, publishing a number of daily newspapers
across Canada. Sun Media also publishes an important number of weekly
newspapers and shopping guides in addition to specialty publications. |
|
TVA and Sun Media propose a tangible
benefits package of $4.6 million (10% of the value of the transaction).
The benefits are described as follows: |

New Voices Fund ($1 million);
Priority Program Fund ($3 million);
Quebecor Fund ($500,000);
Market Studies ($100,000). |
|
The Commission hereby seeks public comments
on the merit of the applications and on the appropriateness of the
benefits package proposed by the applicants. |
|
The Commission invites the public to
regularly examine the public examination file of the above-noted
applications in order to become aware of any additional information that
could be filed no later than 4 October 2004, in response to
clarification questions from the Commission. |

Each paragraph of the document should be
numbered. |

Your intervention should clearly identify
the application and indicate whether you support or oppose the
application, or if you propose changes to it, include the facts and

In the event that the application is
brought to the oral phase of the hearing, and if you wish to appear, you
must provide reasons why your written comments are not sufficient and
why an appearance is necessary. |

Persons requiring communications support

the commencement of the public hearing so that the necessary
