The Commission has received the following application: |

Application No. 2001-0565-2 |
|
CTV Inc. has filed an application seeking authority to acquire
control of CF Television Inc. by acquiring all of the issued and
outstanding shares (35,000,100 common voting shares) of
CF Television Inc., licensee of CFCF-TV Montreal, Quebec. |
|
These shares are currently held in trust by Mr. L.R.
Sherman, on behalf of Global Communications Limited (70%) and
Capital Communications CDPQ Inc. (30%). |
|
The Commission notes that CTV Inc. has determined the value of
the transaction to be $121,500,000. However, this value does not
take into consideration the long term debt that CTV Inc. will be
assuming following the completion of the transaction. The Commission
may determine that the value of the transaction should include the
long term debt, thus impacting the proposed tangible benefits put
forward by the applicant. The tangible benefits package is currently
estimated at $12,150,000. |

The Commission hereby seeks public comments on the merit of the
application and on the appropriateness of the benefits package
proposed by the applicant. |
