Re: Application No. 200107640 – Approved – Change of
control
Focus Entertainment Group Inc., licensee of a new FM station to
serve Vancouver, BC, requests authority to transfer control to 411855
British Columbia Ltd. (Cowan Properties Ltd.)
The Commission approves the above-noted application, filed on behalf of
Focus Entertainment Group Inc. (Focus), for authority to transfer the
control of Focus to 411855 British Columbia Ltd.
411855 is a corporation owned 100% by Cowan Properties Ltd. (Cowan),
formerly the major shareholder within Focus. Further to a redistribution
of shares (announced in the executed Shareholders Agreement of
12 February 2001), the 30% voting interests proposed to be held by
Cowan within the licensee was replaced by a 75% voting interest ownership
by its wholly-owned subsidiary, 411855. The remaining 25% voting interests
have equally been distributed between the three other proposed
shareholders (Andrew J. Henni, John F. Rota and Tony Rota Jr.).
Consequently, control of Focus has changed from a group control (by
Messrs. Andrew J. Henni, John F. Rota and Tony Rota Jr.) to control held
by 411855, with constraints imposed by the Shareholders Agreement.
The Commission will modify its ownership records to reflect the
authorized ownership of Focus Entertainment Group Inc. as shown in the
attached appendix.
All letters of approval issued by the Commission are made available for
public examination at the Commission’s central office. The Commission
also requires you to append this letter to your licence.
