Acquisition of assets of CHCD-FM

The Commission approves the application by CHCD-FM Inc. for authority to acquire the assets of the radio programming undertaking CHCD-FM Simcoe from Redmond Broadcasting Inc., and for a broadcasting licence to continue the operation of this undertaking. |

Upon surrender of the current licence, the Commission will issue a licence to CHCD Inc., expiring 31 August 2007. The licence will be subject to the conditions set out in this decision and in the licence to be issued, as also set out in Public Notice CRTC
1999-137.

CHCD Inc. is ultimately controlled by James MacLeod, who holds 85% of the voting shares. |

The purchase price for the shares is $1,050,000. Based on the evidence filed with the application, the Commission has no concerns with respect to the availability or the adequacy of the required financing.

|
The Commission notes that the applicant did not propose any tangible benefits; CHCD-FM has been unprofitable over the three years preceding filing of this application. In accordance with its policy for commercial radio, the Commission will forego benefit requirements for this station. The Commission notes that there are important benefits associated with this transaction. It will bring local ownership to CHCD-FM. The applicant will use its considerable resources and expertise to enrich the service offered to the community. It will also provide strong local news coverage for Haldimand-Norfolk County. Accordingly, the Commission is of the view that approval of this application is in the public interest.

The applicant plans to maintain the adult contemporary all hits format currently offered by CHCD-FM. |

|
The licensee is authorized, by condition of licence, to broadcast, in any broadcast week 100%, hit material as defined in Public Notice CRTC
1997-42, as amended from time to time. |

The Commission encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources (PN
1992-59). |
