Corporate Finance
Under the Securities Act, a company that intends to raise capital by selling securities
to the public must generally prepare a detailed disclosure document - a prospectus - for
investors. The prospectus must be filed with the Commission for review and
acceptance before the securities can be sold in Manitoba.
The staff of the Corporate Finance Division are responsible for review of the
prospectuses and other offering documents. The staff are also responsible for monitoring
and reviewing continuous disclosure filings by issuers and for the collection of trading
reports filed by corporate insiders.
