Corporate Finance Branch
The Corporate Finance branch administers the disclosure system in Nova Scotia. A significant form of disclosure is the prospectus. The prospectus is required to be filed and receipted in accordance with Nova Scotia securities law before issuers are permitted to distribute securities in Nova Scotia subject to the availability of exemptions.
Issuers to whom a receipt has been issued become reporting issuers as a result and are obliged to comply with ongoing continuous disclosure requirements, including the filing of financial statements, management discussion and analysis, annual information forms, business acquisition reports, material change reports and proxy solicitation and information circulars. Much of the filing by reporting issuers in Nova Scotia, as in the rest of Canada, is done through the facilities of SEDAR(external link), an electronic filing system, operated on behalf of all the securities regulatory authorities in Canada. Public documents filed by or on behalf of reporting issuers are available for electronic inspection through the SEDAR(external link) website.
There are currently more than 4000 reporting issuers in Nova Scotia. The branch also advises the Commission and the Director on the development of policy and participates in the work of a number of Canadian Securities Administrators committees that are active in this field.
Insider Trading occurs legally every day when officers and senior executives (insiders) of the company buy and sell stock.
In Nova Scotia, as in many Canadian jurisdictions, insiders are required to report their trades within 10 days. Since June 2003, all insider filing is done electronically through the System for Electronic Disclosure by Insiders (SEDI(external link)).
