General Rulings/Orders to Implement SEDI
On October 26, 2001 the Director made the following General Rulings/Orders to implement National Instrument 55-102 System for Electronic Disclosure by Insiders (SEDI):
GRO 55-801 changes the effective dates for specific provisions of NI 55-102. CSA Staff Notice 55-303 National Instrument 55-102 SEDI sets out details of the changes.
GRO 55-903 consolidates the provisions of GRO 55-901 and 55-902 and grants several exemptions necessary to implement National Instrument 55-102. Specifically GRO 55-903:
- exempts insiders of SEDI issuers from filings insiders reports in Form 34 as required in The Securities Regulations if they file their reports in Form 55-102F2 on SEDI;
- permits insiders who are not required to file their reports on SEDI to fax them to the Commission; and
- exempts insiders of issuers who are not SEDI or Saskatchewan issuers from filing insiders reports with the Commission if they file insiders reports in another province or territory of Canada.
GRO 55-903 also revokes:
- General Ruling/Order 55-901 Insider Report Form dated June 6, 1995; and
- General Ruling/Order 55-902 Insider Reports dated December 3, 1996
because the provisions of those orders are replaced by the provisions in GRO 55-903
