Carole Mackaay, General Counsel and Secretary

As General Counsel, Carole Mackaay is charged with all legal matters at VIA Rail Canada. She strategizes, supervises and oversees counsel dealing with all litigation related to VIA's operations. She is also charged with the obligation of writing and completing all commercial contracts entered into by the railway. As Corporate Secretary to the Board of Directors she manages all aspects of Board affairs and variously deals with the Privy Council Office, Transport Canada, the Office of the Auditor General, Transportation Safety Board and other departments of government.

As General Counsel she has directed cases which have gone to Superior courts of the provinces, to the Federal court, the Federal Court of Appeal and the Supreme Court of Canada. As Corporate Secretary she has implemented continuous changes to the Board governance processes, in keeping with modern governance principles.

Born and educated in Montreal, Quebec, Carole Mackaay graduated from McGill University with three degrees: a Bachelor of Arts, a Master of Arts and a Bachelor of Civil Law. She articled at McCarthy Tétrault and worked for Molson prior to joining VIA in 1983. She became Corporate Secretary in 1985 and General Counsel in 1995.
