NOTICE OF INTENTION

Notice is hereby given that UFJ Bank Canada (the "Bank") intends to apply, pursuant to section 75 of the Bank Act (Canada), to the Superintendent of Financial Institutions for approval of the following special resolution of the sole shareholder of the Bank authorizing a reduction of stated capital:

    Whereas the Bank has a deficit in its retained earnings of C$17,452,000.
    And whereas the regulatory capital of the Bank currently meets and will continue to meet regulatory requirements.
    And whereas UFJ Bank Limited is the sole shareholder of the Bank and in its capacity as such shareholder wishes to reduce the stated capital of the Bank and eliminate the accumulated deficit.
    And whereas the reduction of stated capital effected by this special resolution will be deducted from the stated capital account of the Bank's common shares.

Now therefore be it resolved that

    1. the stated capital of the common shares of the Bank be reduced by C$17,452,000, subject to the approval of the Superintendent of Financial Institutions Canada; and
    2. any director or officer of the Bank is authorized and directed to do all things and to execute and deliver or to cause to be executed and delivered any documents considered to be necessary or desirable, in such director's or officer's sole discretion, to give effects to this resolution.
