ASSUMPTION REINSURANCE AGREEMENT

Notice is hereby given pursuant to section 254 of the Insurance Companies Act (Canada) that The Canada Life Assurance Company ("Canada Life") and CNA Life Insurance Company of Canada ("CNA LOC") intend to make application to the Minister of Finance on or after October 14, 2002, in accordance with the provisions of the Insurance Companies Act (Canada) for the Minister's approval to enter into an assumption reinsurance agreement between them in respect of a proposed transaction whereby Canada Life will acquire all of the insurance policies of CNA LOC.
