These provisions are for general guidance only and do not necessarily cover all requirements.

The fees are payable to the Minister of Finance and may be made in cash or by Visa, MasterCard, cheque or money order. 
The Business Corporations Act Kit contains a copy of the forms required to incorporate.


Incorporation Process

What are the advantages of incorporating?

  • Incorporating limits the liability of corporation shareholders. Generally, a shareholder of a corporation is only liable to the extent of his/her investment in the corporation. The Directors Liability Document contains information about the liability of directors.
  • Incorporating promotes continuity of existence. The existence of a corporation is continuing and is not affected by the death or bankruptcy of a shareholder or director.
  • Incorporating allows for holding title to real property and entering into contracts.
  • There may also be tax advantages to incorporating, but check with your accountant or seek other professional advice to determine what is best for your situation.

 

How do I incorporate in Saskatchewan?

Mail, In Person or Fax:

  1. In order to incorporate a Saskatchewan Business Corporation the following documentation must be submitted:
    1. A Saskatchewan-biased NUANS name search report is required unless you are incorporating as a number corporation (eg. 101010101 Saskatchewan Ltd.). You may request this report prior to submitting Articles of Incorporation, or submit the name search form with the Articles of Incorporation. The fee is $50.00. See the Name Search Reports page for more information.
    2. Forms required to incorporate are:
      • Articles of Incorporation
      • Notice of Directors
      • Notice of Registered Office
    3. Fee - $265.00 for the incorporation.

      • Submit these forms by mail or bring them to the office at:

        Corporations Branch,
        200, 1871 Smith Street,
        Regina, Saskatchewan
        S4P 4W5
      • Submit these forms by fax to:

        (306) 787-8999
      • Remember to provide us with your Visa or MasterCard number and expiry date.
  2. Electronically:
    1. Using Visa or MasterCard, you may file Articles of Incorporation through the Corporations Branch Registration Web Site.
      • A Saskatchewan-biased NUANS name search report is required unless you are incorporating as a number corporation (eg. 101010101 Saskatchewan Ltd.). You must submit a Name Availability Search request prior to incorporating. The fee is $50.00. See the Name Search Reports page for more information. 
      • Fees - $215.00 for the incorporation.

 

Do I have to hire an accountant or lawyer to incorporate?

No. The Corporations Branch cannot recommend incorporation or what type of share structure is best for you. You should contact an attorney for your legal concerns or an accountant for your financial concerns.

What happens after I file the incorporation forms and pay the fees?

Mail, In Person or Fax

  • All documents are placed in the order they were received and checked to see if they have been completed properly and that they do not violate any provision of The Business Corporations Act. Once the documents have been approved, a Certificate of Incorporation is issued and attached to the duplicate set of Articles and returned to you for your records.
  • Your corporation will be incorporated effective the date all correctly completed forms and fees are received. You may request a later incorporation date.

 

Electronically

  • If you choose pre-defined text on the Articles of Incorporation, your corporation will be incorporated effective the date you started the incorporation on-line. Your Certificate of Incorporation will be mailed out to you the next business day.
  • If you choose to enter your own text on the Articles of Incorporation, your forms must be reviewed by Corporations Branch staff. This normally takes 2 or 3 business days. You will be notified by mail if there is a problem with your Articles of Incorporation.
