Who Needs This Incorporation (and Registration)?
 

Anyone who wants to obtain legal status for a not-for-profit society in Nova Scotia.

Note:  A society does not need to incorporate as a society in order to legally operate in Nova Scotia.  However, a society does need to incorporate in order to have legal status (thereby, for example, having the right to own property, real goods, etc.)

Application Forms & Process:
 
  1. A not-for-profit society organized outside of Nova Scotia:

    The Province of Nova Scotia does not require that not-for-profit Societies incorporated elsewhere (outside of Nova Scotia) register with the Nova Scotia Registry of Joint Stock Companies in order to legally operate in this province.

  2. A not-for-profit society organized in Nova Scotia:

    Before actually applying for incorporation, applicants must choose and reserve a name for the society. This is done through the process of Business Name Search and Reservation.

    Note: A formal (NUANS) computer name search is not required for a society, but a search of the N.S. database and name reservation / approval are required.

    The application forms you need can be downloaded from the Registry's web site.
Waiting Period:
  Approximately 2-4 weeks from the receipt of a completed application, provided that all the items that must accompany the application have been received.

Expiry & Renewal:
  This incorporation does not expire.

However, the society is required, by law, to submit to the Registry every year the following: (a) a current list of Directors; (b) a copy of their most recent financial statements; and (c) $25 (No tax is charged) annual renewal fee.

This filing should be made within 14 days of the society's annual general meeting, however, these fees must be paid on the anniversary month.

Additional Information:
  There is a common misconception that "registering" as a society and "incorporating" as a society are two different things; however, in Nova Scotia, that is not so. What the Nova Scotia Registry of Joint Stock Companies does is to issue a Certificate of Incorporation to a group, which incorporates them as a society and, in a sense, "registers" them in Nova Scotia.
